These Terms of Use govern access to and use of the website katalyzer.music and the Katalyzer customer portal and software services (together, the “Services”) offered by Ampire GmbH. By creating or using a user account, you agree to these Terms of Use in the applicable document version.
The Services are provided by Ampire GmbH, An der Grünwalder Brücke 1, 82049 Pullach, Germany (“Ampire”, “we”, “us”).

The commercial relationship regarding music distribution and related services between Ampire and a label or catalogue owner is set out in a separate distribution agreement (Distributionsvertrag) and, where applicable, further written agreements. These Terms of Use do not replace that agreement. If anything in these Terms of Use conflicts with your distribution agreement, the distribution agreement prevails for commercial and service obligations.
You may receive access as a user on behalf of a client (label) with whom Ampire has a distribution agreement, or on behalf of a partner (e.g. rights-holder) linked to such a client. You act within the scope of the authorisations and instructions given by that organisation. Our Services are intended for business use. You confirm that you use the Services in a professional context on behalf of your organisation.
You must provide accurate account information, keep credentials confidential, and protect your account from misuse. You may not share login credentials in a way that bypasses security or licensing. You must not misuse the Services (for example by introducing malware, attempting unauthorised access, overloading systems, or using the Services for unlawful purposes). We may suspend or restrict access if we reasonably believe there is a breach of these rules or a risk to security or other users.
You use the Services in compliance with applicable law and any instructions that apply to your role. You are responsible for content you submit (including metadata, audio, artwork, and documents) being properly licensed and lawful for processing and distribution as handled between your organisation and Ampire under the distribution agreement. You must not use the Services to infringe third-party rights or applicable platform rules.
You retain your rights to the content you submit. You grant Ampire a non-exclusive licence to host, process, display, and transmit that content as reasonably necessary to provide and improve the Services, to provide support, and to comply with law—in each case within the framework of the agreements between Ampire and your organisation.
Ampire retains all rights to the Services (including software, documentation, and branding). We grant you a limited, non-exclusive, non-transferable right to use the Services only for your authorised account and only as offered by Ampire. You must not reverse engineer, decompile, or attempt to bypass technical or security measures except where mandatory law permits.
The Services may depend on or connect to infrastructure and services operated by third parties (for example hosting, technical platform services, payment providers, digital storefronts, or analytics as applicable). We do not control those third parties. Their availability and terms may affect how features work; we are not responsible for third-party services beyond what mandatory law requires.
Our processing of personal data is described in our privacy policy, available at katalyzer.music/privacy (and the German-language path where applicable). Further data-protection terms may be set out in the distribution agreement where applicable.
We aim to operate the Services reliably, but we provide availability and performance on a best-effort basis unless otherwise agreed elsewhere. Maintenance, security updates, or events beyond our reasonable control may cause interruptions. We may modify or discontinue features where reasonably necessary; substantive contractual rights of your organisation under the distribution agreement remain governed by that agreement.
Support levels and channels are as agreed between Ampire and your organisation in the distribution agreement or as otherwise communicated to your client account.
We may update these Terms of Use for legal, technical, or operational reasons. The version published at katalyzer.music/terms with the stated document version applies going forward. If required, we will ask for your acceptance again (for example on next sign-in).
You must treat non-public information you obtain through the Services as confidential and use it only for the intended business relationship, unless you are legally required to disclose it or the rights holder has consented.
Liability is determined by applicable law. Statutory non-waivable liability remains unaffected. Claims arising primarily from the distribution relationship between Ampire and your organisation are governed by the distribution agreement where that agreement applies.
If performance is temporarily impossible due to events beyond reasonable control, the affected obligations are suspended for that period, to the extent reasonable. If a provision of these Terms of Use is or becomes invalid, the remaining provisions remain in effect. Ampire may transfer these Terms of Use to an affiliate or a successor in a business transfer where legally permissible; we will inform you if required by law. For notices relating to these Terms of Use we may use the email address on your account. Together with our privacy policy, these Terms of Use govern use of the website and customer portal as between you and Ampire.
These Terms of Use are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules. If you are a merchant (Kaufmann) within the meaning of the German Commercial Code, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Use is Munich, Germany.
